Clifford Chance is pleased to announce the publication of the 2016 edition of our 'Market Practice in Private M&A' surveys. Partners and lawyers in our global corporate practice are often asked by clients for a view on current market practice in relation to various aspects of M&A and private equity transactions. In order to keep everyone fully informed of market trends, the Market Practice in Private M&A presentations have been developed to track key deal terms.
The presentations collate know-how on market practice in private M&A by looking at a list of key features which we identified as being important (e.g. MACs, warranty caps, form of consideration mechanic and key terms in equity documents). The 2016 survey consists of 2 presentations:
- European Market Practice – this survey reviews 141 transactions signed and/or completed across Clifford Chance's European network in 2016. The survey highlights differences between London and Continental market practice.
- UK Market Practice – this survey covers 48 transactions led out of Clifford Chance's London office many of which were cross-border.
